1. INTRODUCTION

Welcome to ZypZap ("ZypZap," "we," "our," or "us").

ZypZap is a video, creator and community platform designed to help people discover, publish, share and engage with digital content and creators.

ZypZap originated with a strong focus on gaming content and is progressively expanding to support creators and communities across additional content categories.

The Platform may include features such as:

• Video publishing and discovery
• Creator profiles
• Creator Studio
• Subscriptions
• Search and recommendations
• Challenges
• Programs and incentives
• Connected third-party platforms
• ZypZap IQ
• Creator analytics and insights
• Partner and brand tools
• Community features
• Future monetization features

ZypZap is currently evolving through Alpha and Beta development stages. Some functionality may therefore be experimental, incomplete, unavailable, modified or removed.

By creating an account or using ZypZap, you agree to these Terms of Service ("Terms") and acknowledge our Privacy Policy. If you do not agree, you must not use the Platform.

2. ACCOUNT TYPES AND ROLES

2.1 Users

A User is a registered individual using ZypZap. Users may, depending on available functionality:

• Watch videos
• Search and discover content
• React to content
• Comment
• Subscribe to creators
• Participate in voting
• Manage interests and preferences
• Connect supported external accounts
• Participate in community features

2.2 Creators

A Creator is a User who uses ZypZap's creator functionality, including uploading or publishing content. A separate Creator account may not be required.

Creators may have access to:

• Video uploading
• Creator Studio
• Content management
• Creator profiles
• Analytics
• Challenges
• Programs
• ZypZap IQ
• Connected-platform insights
• Other creator tools

2.3 Partners

ZypZap may provide certain approved businesses, studios, brands, agencies or other professional organizations with Partner functionality.

Partners may, depending on the applicable version, access creator discovery and intelligence functionality, including certain creator information, content information, performance indicators or ZypZap IQ outputs. Partner access does not give unrestricted access to creators' private information.

Additional terms may apply to Partner accounts.

3. ACCOUNT REGISTRATION AND SECURITY

You agree to provide accurate information when creating or maintaining your account. You are responsible for:

• Maintaining the security of your account
• Protecting your authentication credentials
• Activities performed through your account
• Informing ZypZap if you suspect unauthorized access

You must not:

• Impersonate another individual or organization
• Create accounts for fraudulent purposes
• Sell or transfer accounts without authorization
• Circumvent account restrictions
• Access another user's account without authorization

ZypZap may require account verification or additional security measures where reasonably necessary.

4. ELIGIBILITY AND MINORS

You must meet the minimum legal age required to consent to use of an information-society service in your jurisdiction, and, where applicable, to the processing of your personal information. This age varies by jurisdiction — for example, France sets this threshold at 15 years under applicable law — and you are responsible for meeting the threshold that applies where you live.

Where parental or guardian authorization is required by applicable law for a user under that threshold, you may only use the relevant ZypZap services with that authorization.

ZypZap does not currently collect date of birth or verify age at registration. Additional age-assurance or age-appropriate experience measures, and any related safeguards or restrictions for accounts belonging to minors, may be introduced as the Platform develops and will be described here when implemented.

5. USER CONTENT

"User Content" includes videos, thumbnails, images, titles, descriptions, comments, profile information and other material submitted to ZypZap.

You remain responsible for your User Content. You represent that:

• You own your User Content or have sufficient rights to use and publish it.
• Your publication does not knowingly infringe third-party rights.
• Your User Content complies with these Terms and applicable law.

Uploading content does not transfer ownership of that content to ZypZap.

6. CONTENT LICENSE

You retain ownership of your User Content.

By uploading or publishing User Content, you grant ZypZap a non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, display, distribute, technically adapt and make that content available as reasonably necessary to:

• Operate ZypZap
• Display your content to users
• Deliver and optimize videos
• Generate thumbnails and previews
• Provide search and recommendations
• Promote content within ZypZap
• Operate Challenges and Programs
• Provide Creator and Partner functionality

The license continues while your content is available through ZypZap. Following deletion, the license terminates within a reasonable technical period, except where continued processing or retention is legally required or necessary to enforce rights, investigate abuse, maintain security or resolve disputes.

7. PROHIBITED CONTENT AND CONDUCT

Users must not upload, publish, promote or distribute content that violates applicable law or these Terms.

Prohibited content and conduct may include:

• Illegal or dangerous material
• Illegal content
• Terrorist or extremist content prohibited by law
• Credible threats or incitement to violence
• Child sexual exploitation or abuse material
• Unlawful sale or promotion of regulated goods
• Content facilitating serious criminal activity
• Abuse and harassment
• Unlawful harassment
• Hate speech prohibited under applicable law
• Targeted threats
• Malicious impersonation
• Doxxing or unlawful disclosure of personal information

Sexual content Certain sexually explicit or pornographic material may be prohibited or restricted according to ZypZap's content policies.

Intellectual property violations You must not knowingly upload:

• Pirated content
• Unauthorized copyrighted videos
• Content infringing trademarks or other intellectual property rights

Platform manipulation You must not:

• Artificially manipulate views
• Manipulate likes or reactions
• Manipulate Challenge voting
• Use unauthorized bots to generate engagement
• Create fraudulent accounts
• Spam users
• Attempt to bypass security controls

8. CONTENT MODERATION

ZypZap may use manual and/or automated systems to detect, review and moderate content. Depending on the Platform version and content type, content may be reviewed before or after becoming visible.

ZypZap may:

• Restrict content
• Reduce or remove visibility
• Reject publication
• Remove content
• Restrict features
• Suspend accounts
• Terminate accounts

where reasonably necessary to enforce these Terms, applicable policies or legal obligations.

Moderation notifications Where required by applicable law, ZypZap will provide affected users with a clear and specific explanation of relevant moderation decisions.

Challenging decisions

Where applicable, users may request review of certain moderation decisions through the available complaint channels described within the Platform or by contacting contact@zypzap.com.

9. CREATOR DELETION AND CONTENT RETENTION

Creators may delete their own videos through available Creator Studio controls.

Where the Recently Deleted functionality is available:

• Creator deletion → Recently Deleted → 30-day recovery period → Permanent deletion

During the recovery period, creators may be able to restore the video. After approximately 30 days, the content may be permanently deleted automatically. When a video is permanently deleted, associated references such as user viewing-history entries may also be removed or anonymized as technically appropriate.

Content removed by ZypZap for serious moderation, security or legal reasons may:

• Be unavailable for restoration
• Be retained for a limited period where necessary for legal, security, fraud-prevention or enforcement purposes

10. COPYRIGHT AND INTELLECTUAL PROPERTY

ZypZap respects intellectual property rights. Rights holders may report content they reasonably believe infringes their intellectual property. ZypZap may remove or restrict allegedly infringing material where appropriate. Repeated or serious infringement may result in account restrictions or termination.

More detailed copyright procedures may be introduced as the Platform expands.

11. CHALLENGES

ZypZap may offer Challenges allowing eligible Creators to submit content around specific themes.

Challenge-specific rules may specify:

• Eligibility
• Submission periods
• Content requirements
• Voting mechanisms
• Prizes
• Winner selection
• Sponsor involvement

Challenge participation constitutes acceptance of the applicable Challenge rules.

ZypZap may disqualify submissions involving:

• Fraud
• Vote manipulation
• Artificial engagement
• Rule violations
• Ineligible content

Where Likes are used as votes, one valid Like may constitute one vote unless the applicable Challenge rules state otherwise.

Prizes and rewards will be governed by the rules published for each applicable Challenge.

12. PROGRAMS, BADGES AND INCENTIVES

ZypZap may operate Programs such as Pioneer or Creator participation programs.

Programs may provide:

• Status
• Badges
• Recognition
• Access to features
• Benefits
• Rewards

Program rules, eligibility criteria and benefits may change as ZypZap evolves, subject to applicable law and any commitments expressly made to participants.

Badges, IQ levels, status indicators and similar Platform features do not represent financial instruments or guaranteed monetary value unless expressly stated otherwise.

13. SUBSCRIPTIONS AND SOCIAL INTERACTIONS

Users may subscribe to Creators and interact with content through Likes, reactions, comments and other functionality. Subscribing to a Creator may include following the Creator at no cost and/or supporting the Creator through a paid tier where available; the specific relationship types, their names, and any associated cost are described within the Platform.

Users must not manipulate these systems. ZypZap may remove or disregard interactions reasonably identified as:

• Fraudulent
• Automated
• Manipulated
• Spam
• Generated in violation of these Terms

14. RECOMMENDATIONS AND PERSONALIZATION

ZypZap may personalize parts of the Platform based on information such as:

• Selected interests
• Games
• Categories
• Content interactions
• Subscriptions
• Viewing activity
• Connected-platform information where authorized

This may affect features such as Recommended for You, search, creator discovery and other content rails.

Recommendation functionality may change during Alpha and Beta.

15. EXTERNAL ACCOUNT CONNECTIONS

ZypZap may allow you to connect supported third-party services, including content platforms such as YouTube and Twitch, and gaming platforms such as Steam.

Integration with additional gaming platforms, including console platforms such as PlayStation Network, Xbox Live, and Nintendo, may be introduced if and when a suitable, permitted integration path becomes available. Not all third-party platforms currently offer a public interface suitable for this purpose.

Connecting a supported service is voluntary unless otherwise specified for a particular feature. By connecting an account, you authorize ZypZap to access the information covered by the permissions you approve. ZypZap will use connected-platform information according to our Privacy Policy and the applicable third-party platform requirements.

You may disconnect supported integrations. Third-party services remain governed by their own terms and privacy policies.

16. GOOGLE AND YOUTUBE SERVICES

Where you connect a Google or YouTube account, ZypZap may use Google APIs to provide connected-account, analytics and creator intelligence functionality.

Your use of these integrations is also subject to applicable Google and YouTube terms and policies. ZypZap will request only permissions reasonably required for the functionality being provided.

Users may revoke ZypZap's Google authorization through their Google account settings. Information obtained through Google APIs will be handled according to ZypZap's Privacy Policy and applicable Google API requirements.

17. ZYPZAP IQ

ZypZap may provide ZypZap IQ, a creator intelligence and recommendation system.

ZypZap IQ may analyze information such as:

• Creator activity
• ZypZap content
• Content performance
• Engagement
• Creator consistency
• Games and content categories
• Connected-platform information
• Audience and performance indicators where available

ZypZap IQ may generate:

• IQ Scores
• Creator insights
• Content-performance indicators
• Recommendations
• Creator positioning
• Suggested actions
• Collaboration or campaign-fit indicators

ZypZap IQ outputs are informational indicators. They should not be interpreted as guarantees of:

• Creator quality
• Commercial success
• Future performance
• Audience growth
• Sponsorship eligibility
• Revenue

Scores and methodologies may evolve as the system improves. See Section 18 for how ZypZap IQ outputs may be shared with Partners.

18. PARTNER ACCESS AND CREATOR DISCOVERY

Authorized Partners may receive access to certain creator-facing intelligence functionality. Depending on the applicable product version, this may include:

• Public creator information
• Creator content
• ZypZap IQ indicators
• Creator positioning
• Content-performance indicators
• Collaboration-fit indicators

Where ZypZap IQ or related AI-generated indicators are shared with Partners, these outputs are designed to inform a Partner's own human decision-making rather than to trigger an automated decision on a Creator's behalf. ZypZap does not intend these outputs, alone, to produce legal or similarly significant effects on a Creator without such review.

Creators may have the ability to review the information and indicators shared with Partners about them and to flag or contest inaccuracies, as further described in the Privacy Policy and within available Creator Studio controls.

Partner access does not grant unrestricted access to private account credentials or authentication secrets. Any sharing of personal information must comply with the Privacy Policy and applicable law.

Where information originates from a connected Google or YouTube account, ZypZap distinguishes its own derived outputs (such as ZypZap IQ indicators) from raw platform data, and does not transfer raw Google user data to Partners beyond what is permitted under Google's applicable API terms.

19. ADVERTISING AND MONETIZATION

ZypZap may introduce monetization functionality in future releases. This may include:

• Advertising
• Creator monetization
• Premium functionality
• Sponsored Challenges
• Brand partnerships
• Other commercial features

Where advertising is introduced, advertising content will be identified as required by applicable law. ZypZap may use third-party advertising technology providers rather than operating proprietary advertising infrastructure.

Where advertising involves targeting, ZypZap will not use special categories of personal data for advertising-targeting purposes and will not knowingly target advertising based on profiling of minors, consistent with applicable law.

Additional monetization terms may apply when these services become available.

20. FEES AND PAYMENTS

Most ZypZap functionality may initially be provided without charge. If paid functionality, premium subscriptions, creator monetization or transactions are introduced, applicable:

will be disclosed before the relevant transaction or participation. Additional commercial terms may apply.

21. PLATFORM AVAILABILITY — ALPHA/BETA

ZypZap is currently under active development. During Alpha and Beta:

• Features may be incomplete
• Features may change
• Features may temporarily become unavailable
• Interfaces may change
• Integrations may fail
• Performance may vary

We may modify the Platform as reasonably necessary to develop, secure and improve the service. However, this does not affect rights that cannot lawfully be excluded.

22. ACCOUNT SUSPENSION AND TERMINATION

ZypZap may restrict, suspend or terminate accounts where reasonably necessary because of:

• Serious or repeated Terms violations
• Illegal activity
• Fraud
• Security threats
• Manipulation
• Abuse
• Intellectual-property infringement
• Legal requirements

Where required by applicable law, we will provide users with information about relevant restrictions and available remedies.

Users may also terminate their ZypZap account through available account controls or by contacting ZypZap.

23. SERVICE CHANGES

We may modify, add or remove functionality as ZypZap evolves. Where a material change significantly affects users' rights or obligations, we may provide advance notice where reasonably possible or legally required.

24. THIRD-PARTY SERVICES

ZypZap relies on third-party technologies and services. ZypZap does not control the continued availability or functionality of external platforms such as YouTube, Twitch or Steam.

An external provider may:

• Change its API
• Change access rules
• Restrict functionality
• Revoke permissions
• Experience outages

As a result, certain ZypZap functionality may become temporarily or permanently unavailable.

25. DISCLAIMERS

To the extent permitted by applicable law, ZypZap is provided on an "as available" basis during Alpha and Beta. We do not guarantee:

• Uninterrupted availability
• Error-free operation
• Permanent availability of experimental functionality
• Specific creator growth
• Revenue
• Engagement
• ZypZap IQ outcomes
• Challenge results

Nothing in these Terms excludes warranties or consumer rights that cannot legally be excluded.

26. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, ZypZap will not be responsible for indirect, incidental or consequential losses arising from use of the Platform.

Nothing in these Terms excludes or limits liability where exclusion or limitation would be prohibited by applicable law.

27. PRIVACY

Our collection and processing of personal information is governed by the ZypZap Privacy Policy. The Privacy Policy explains, among other things:

• Information we collect
• Connected-platform information
• ZypZap IQ
• Google/YouTube information
• Use of content to improve ZypZap's own features, including AI-related functionality
• Data retention
• Data deletion
• User rights

Users should review the Privacy Policy before connecting external services.

28. REPORTING ILLEGAL OR PROHIBITED CONTENT

Users and rights holders may report suspected illegal or prohibited content to: contact@zypzap.com

ZypZap may introduce dedicated in-product reporting functionality as the Platform develops, consistent with applicable notice-and-action requirements for online platforms.

Reports should provide sufficient information to identify the relevant content and explain the reason for the report. Where required by applicable law, ZypZap will provide an explanation of the outcome of a report.

29. CHANGES TO THESE TERMS

We may update these Terms as ZypZap evolves. The current version will display its effective date.

Where changes materially affect users' rights or obligations, ZypZap may provide notice through:

Where required by applicable law, additional consent may be requested.

30. GOVERNING LAW AND DISPUTES

These Terms are governed by French law, subject to any mandatory consumer protections applicable in the user's country of residence.

Nothing in these Terms deprives consumers of mandatory rights or remedies available under applicable law.

Before initiating formal proceedings, users are encouraged to contact ZypZap so that we can attempt to resolve the matter.

For purposes of applicable data protection laws, including the European Union General Data Protection Regulation ("GDPR"), the operator of ZypZap acts as the data controller for personal data processed through the Platform, except where another party acts as an independent controller.

We may use this information to operate ZypZap, understand how the Platform is used, improve functionality, personalize experiences and provide recommendations.

4. Connected Platforms and Third-Party Data

ZypZap may allow users and creators to voluntarily connect external platforms.

Currently supported or planned integrations include:

• YouTube
• Twitch
• Steam

PlayStation Network and Xbox Live are not currently supported. These platforms do not offer the same kind of public third-party API access that Steam does for account and play data, and ZypZap does not use undocumented or unauthorized methods to obtain this information. Support may be introduced if these platforms make a suitable API available under terms that permit this use. Nintendo and other platform integrations may also be introduced in future versions, subject to the same standard.

Connecting an external account is optional unless a specific ZypZap feature expressly requires that connection.

The information received depends on the permissions granted by the user and the APIs made available by the relevant platform.

5. Google and YouTube Data

ZypZap uses Google APIs and may allow creators to connect their YouTube accounts.

When you choose to connect YouTube, ZypZap may request authorization to access information made available through the YouTube Data API and YouTube Analytics API.

Depending on the permissions you grant and the functionality available, this may include information such as:

• YouTube channel information
• Channel identity
• Videos associated with the channel
• Video metadata
• Video views
• Engagement metrics
• Channel statistics
• Content performance information
• Other YouTube analytics authorized by you

ZypZap uses this information to provide creator-facing functionality, connected-platform information, analytics and ZypZap IQ.

We will request only Google permissions reasonably necessary to provide the relevant functionality.

Google requires production OAuth applications to clearly disclose how Google user data is accessed, used, stored and shared.

How ZypZap Uses Google User Data

Google/YouTube information may be used to:

• Connect your YouTube identity to your ZypZap creator profile
• Display connected-platform information
• Analyze creator activity and performance
• Calculate or contribute to ZypZap IQ metrics
• Generate creator insights
• Generate recommendations
• Help creators understand their content performance
• Power creator discovery and partner-facing intelligence where applicable

ZypZap does not sell Google user data.

Google user data will not be used for purposes materially different from those described in this Privacy Policy without providing appropriate notice and, where required, obtaining additional consent.

Disconnecting YouTube

Users will be able to disconnect their YouTube account from ZypZap.

Users may also revoke ZypZap's Google access through their Google Account permissions.

Disconnecting an account stops future authorized retrieval of data from that connection, subject to technical processing already underway and any information that must lawfully be retained.

ZypZap's use and transfer of information received from Google APIs will comply with the Google API Services User Data Policy, including applicable Limited Use requirements.

6. Steam Data

Users may choose to connect a Steam account.

Depending on Steam account privacy settings and API availability, ZypZap may access information such as:

• Steam account identifier
• Games owned or made available through Steam APIs
• Recently played games
• Playtime information
• Game identifiers
• Gaming activity available through the authorized integration

Some Steam information may only be available where the user's Steam profile or relevant game information is publicly accessible.

ZypZap may use Steam information to understand gaming interests, personalize the Platform and contribute to relevant ZypZap IQ functionality.

7. Twitch and Other Integrations

Where enabled, creators may connect Twitch or other supported creator platforms.

ZypZap may process information authorized by the user and provided through those platforms' APIs, including profile, channel, content, audience, activity and performance information where available.

The precise information available depends on the platform and the permissions granted.

8. ZypZap IQ and Creator Intelligence

ZypZap is developing ZypZap IQ, a creator intelligence and recommendation system.

ZypZap IQ may analyze information from:

• ZypZap activity
• Creator profiles
• Uploaded content
• Content performance
• Connected creator platforms
• Connected gaming platforms
• Engagement information
• Content categories
• Games and interests
• Audience and performance metrics where available

This information may be used to generate:

• IQ Scores
• Creator performance indicators
• Content insights
• Creator identity and content positioning
• Recommendations
• Suggested next actions
• Content performance analysis
• Partner-facing creator insights
• Campaign or collaboration suitability indicators

Some ZypZap IQ outputs may therefore constitute profiling within the meaning of applicable data protection laws.

Where ZypZap IQ or related AI outputs — including brand-fit or predicted ROI indicators surfaced to partners — are used, they are designed to inform a human decision-maker's judgment rather than to trigger an automated decision without human review. We do not intend these outputs, alone and without human review, to produce legal or similarly significant effects on users.

As the functionality evolves during Beta, this Privacy Policy will be updated where necessary to reflect material changes in the data used and the resulting functionality.

This profiling disclosure is particularly important under GDPR; CNIL specifically identifies profiling and automated decision-making as information that may need to be disclosed to users.

Use of Content to Improve ZypZap's AI Features

ZypZap may use your content and activity data to operate, provide, and improve the specific AI-powered features you use — for example, using your watch history to improve your own recommendations, or your uploaded content to generate your own ZypZap IQ score. We do not use your personal content to train general-purpose or third-party AI models, and we do not sell your content or data to third parties for AI training purposes. Where ZypZap introduces broader model-improvement uses beyond operating the feature you're using, we will disclose this clearly and provide a way to opt out before that use begins.

9. Recommendations and Personalization

ZypZap may use your selected preferences and activity to personalize the Platform.

This can include:

• Relevant creators
• Games
• Categories
• Challenges

For example, selected games and content categories may influence what appears in Recommended for You.

10. Challenges and Programs

When you participate in a ZypZap Challenge or Program, we may process:

• Participation status

• Rankings
• Challenge results
• Program progress
• Badges or rewards
• Creator participation information

Future sponsored challenges may involve brands or partners. Where personal information needs to be shared with a sponsor or partner, users will receive appropriate information before such sharing where required.

11. Partners and Creator Discovery

During Beta and future releases, ZypZap may provide authorized partners, brands, studios or agencies with tools for creator discovery and evaluation.

Depending on the feature, partners may be able to access creator information such as:

Private connected-account credentials, OAuth tokens, passwords and other authentication secrets are not intended to be exposed to partners.

Deleted Videos Videos voluntarily deleted by creators may be placed in Recently Deleted for up to 30 days, during which they may be restored. After the retention period, they may be permanently deleted. Content permanently removed through moderation may not be eligible for restoration. Where a video is permanently deleted, associated references such as viewing-history entries may also be removed or anonymized as technically appropriate.

CNIL specifically requires organizations to define retention periods rather than retaining personal data indefinitely.

17. International Data Transfers

ZypZap may use service providers located outside France or the European Economic Area.

Where personal data is transferred internationally, we will use applicable safeguards required by data protection law, where necessary, such as adequacy decisions or approved contractual safeguards.

18. Data Security

We implement reasonable technical and organizational measures designed to protect personal information against:

20. Account and Data Deletion

Users may request deletion of their ZypZap account and associated personal information.

Where external accounts have been connected, users should also revoke ZypZap's access through the relevant third-party service if they wish to terminate that authorization directly.

21. Children's Privacy

ZypZap is not intended for children below the minimum age required to independently consent to the processing of their personal information under applicable law, which in France is 15 years old.

ZypZap does not currently collect date of birth or any other age-verification information. Because we do not collect this information, we have no technical means of independently verifying a user's age, and we rely on users confirming they meet the minimum age when creating an account. If ZypZap introduces a birthday field or other age-related data collection in the future, this Privacy Policy will be updated in advance with the applicable age-verification and, where required, parental-consent mechanism, consistent with GDPR Article 8.

If we become aware that personal information was collected from a child in violation of applicable children's privacy requirements, we will take appropriate steps to delete or otherwise address that information.

22. Alpha and Beta Services

ZypZap is currently evolving from an Alpha product toward Beta.

During these stages:

• New integrations may be introduced
• ZypZap IQ may evolve
• Partner functionality may expand
• Monetization functionality may be introduced
• New recommendation and community features may be introduced

We will update this Privacy Policy where these changes materially affect how personal information is collected, used or shared.

Where required by law or applicable platform policies, we will provide additional notice or obtain consent before using personal information for materially different purposes.

Google specifically requires notification and, where necessary, renewed consent when Google user data begins being used in a materially different way from what the published policy disclosed.
